LYING THIEVES: AMSTERDAM MUSIC SUBMISSION AND LICENCE AGREEMENT Version 1.0 — 26 August 2026 This agreement is between the person identified and electronically signing the submission (the “Artist”) and Sitix, the developer and publisher of Lying Thieves: Amsterdam, established at Opaallaan 1180, 2132 LN Hoofddorp, the Netherlands and registered with the Dutch Chamber of Commerce under number 24404996 (“Sitix”). It applies to the recording, musical composition, lyrics, performances, artwork and metadata identified in the submission (together, the “Track”). 1. Submission and evaluation The Artist asks Sitix to evaluate the Track for possible use in Lying Thieves: Amsterdam. The Artist grants Sitix a non-exclusive, royalty-free licence to receive, securely store, copy, internally play and technically inspect the Track solely for evaluation, rights clearance, testing and communication about the submission. The Artist may withdraw the Track before Sitix accepts it by using the contact form at https://lyingthieves.com/music/ and quoting the submission reference. Submitting a Track does not oblige Sitix to accept, publish, promote or use it. No public-use licence arises merely because a file was uploaded. 2. Acceptance and agreed compensation The licence in section 3 becomes effective only if Sitix sends the Artist a written acceptance that identifies the Track and confirms the agreed compensation. The requested one-time licence fee stated in the submission is the Artist’s offer. Sitix may accept that offer or propose different terms, which become effective only after written agreement. Unless the acceptance expressly says otherwise, the agreed fee is a one-time fee and the licence is royalty-free: no further licence fee, royalty, revenue share or accounting payment is due from Sitix for the uses granted below. This does not exclude any remuneration, reporting, adjustment or other right that cannot lawfully be waived. Nothing in this agreement limits the Artist’s right to equitable remuneration under mandatory applicable law. 3. Licence for an accepted Track Once accepted under section 2, the Artist grants Sitix a non-exclusive, worldwide licence for the full term of all relevant copyright and related rights to: a. reproduce, host, cache, encode, compress, convert, master, normalise, edit, shorten, loop, fade, mix and otherwise technically adapt the Track; b. synchronise and combine the Track with the game, its in-game radio, menus, audiovisual scenes and other game content; c. distribute, sell, license, rent, make available, communicate to the public, publicly perform and otherwise exploit the Track only as part of or in connection with Lying Thieves: Amsterdam; d. include the Track in all versions, editions, demos, ports, updates, patches, downloadable content, bundles, compilations, subscription services, cloud-streaming services and archival builds of the game; e. use excerpts of the Track, the Track title, the Artist’s approved professional name, supplied credits and supplied promotional material in trailers, store pages, press material, social posts, events, advertisements and other promotion for the game; and f. permit players, reviewers, press, streamers and video platforms to record, upload, broadcast, monetise and share gameplay, reviews, streams and clips that incidentally contain the Track as part of game audio. Sitix may sublicense these rights only to its affiliates, publishers, distributors, storefronts, platform operators, service providers, marketing partners, press and users to the extent reasonably necessary for the uses above. Sitix may transfer this agreement with the game, the project, the relevant business or substantially all related assets. The Track may not be released or licensed by Sitix as a standalone song, soundtrack album or sample library without a separate written agreement. The licence is perpetual for copies and content released while it is in force. The Artist cannot require already distributed game builds, player recordings, trailers, backups or lawful archival copies to be recalled or destroyed. Sitix may stop using the Track in future releases at any time. 4. Ownership and credit The Artist keeps all ownership and copyright in the Track. This agreement is a licence, not an assignment. Sitix will use reasonable efforts to reproduce the supplied full credits accurately in an in-game or associated credits section, subject to space, platform and technical limitations. Accidental omission or error is not a material breach if Sitix corrects it in a reasonably available future update after receiving notice. The Artist consents to the edits and contextual uses expressly permitted by this agreement and, to the extent permitted by law, agrees not to assert moral or similar rights against those permitted uses. Rights that cannot be waived remain unaffected. 5. Artist promises and clearances The Artist represents and warrants that: a. the Artist is at least 18 years old, has legal capacity and has authority to enter into this agreement; b. all information and credits supplied are complete and accurate; c. the Artist owns or controls, or has written permission to license, both the master recording and the musical composition and lyrics for every use in section 3; d. every songwriter, publisher, label, producer, performer, featured artist and other rights holder has authorised the licence, credit and compensation arrangements stated here; e. all samples, interpolations, beats, loops, stems and third-party material are identified and fully cleared for the uses in section 3; f. the Track and its permitted use do not infringe copyright, related rights, trade marks, privacy, publicity, contractual rights or any other third-party rights; g. any collecting-society, performing-rights-organisation, publisher, distributor, label or Content ID arrangement has been disclosed and does not prevent the licence; and h. any generative-AI use has been disclosed, no person’s voice or identity has been cloned or imitated without permission, and the Artist has sufficient commercial rights in all AI-assisted material. The Artist must promptly tell Sitix if any promise ceases to be accurate or if a third party asserts a claim. The Artist will reasonably cooperate with rights verification and claim resolution. 6. Content ID and gameplay claims The Artist remains free to use Content ID or similar services for unrelated exploitation of the Track. However, the Artist must whitelist Sitix and the game where the service permits it and must not knowingly issue or maintain copyright strikes, blocks, takedowns or monetisation claims against the uses permitted by section 3(f). If an automated claim occurs, the Artist must use reasonable efforts to release it promptly after notice. This does not prevent claims against uploads that use the Track as standalone music or otherwise fall outside this agreement. 7. Claims and responsibility The Artist will indemnify Sitix and its licensees against reasonable, documented losses, liabilities and external legal costs arising from a third-party claim caused by the Artist’s material breach of section 5, except to the extent caused by Sitix’s use outside this agreement or Sitix’s own fault. Sitix will give prompt notice of a claim and allow the Artist reasonable participation in its defence. Neither party excludes liability that cannot legally be excluded. 8. Non-use and termination Before acceptance, the Artist may withdraw as described in section 1. After acceptance, the Artist may terminate the licence for future use if Sitix has not made any genuine commercial use of the Track within 24 months after acceptance, provided the Artist first gives written notice and a six-month opportunity to begin use. Any stronger non-use, revocation or termination rights under mandatory law remain unaffected. If either party materially breaches this agreement and does not cure the breach within 30 days after written notice, the other party may terminate it for future use. Sections needed to protect previously released copies, accrued rights, ownership, claims and legal evidence survive termination. 9. Personal data and evidence Sitix processes submission data as described in the privacy notice at https://lyingthieves.com/music/#privacy. The Artist agrees that Sitix may preserve the accepted agreement, electronic signature, technical audit record and Track fingerprint for the duration reasonably required to prove and administer the licence. 10. General terms This agreement and the written acceptance form the entire agreement for the Track unless the parties sign additional terms. Amendments must be in writing. If a provision is unenforceable, it will be limited only as much as necessary and the remaining provisions continue. A failure to enforce a provision is not a waiver. Dutch law governs this agreement. The competent courts of the Netherlands have jurisdiction, without limiting any mandatory rights or forum available to the Artist under applicable law. Electronic signature By checking the agreement boxes and typing their full legal name, the Artist confirms that they have read this agreement, intend to be legally bound by the submission and evaluation terms, and make the licence offer described above. The server records the agreement version and hash, Track hash, timestamp, submission reference, signature, IP address and browser information as evidence.
